These terms govern the use of Memogadget Assist on the web and in its associated applications.
Contract and data processing agreement template (Portuguese Word document) — complete before signing
Provider and contact
Memogadget Assist is provided by Memogadget, Unipessoal Lda., Portuguese company number 510007082. Support, contracting, privacy and incident contact: comercial@memogadget.com. These terms cover the web platform and mobile application and supplement the accepted proposal or contract and commercial conditions. Registered office: Rua José Carlos Vieira Neves, no. 64, Maia, Portugal.
Professional use and contracting
Assist is intended for business and professional activity. The contracting representative must have authority to bind the organisation and provide accurate information. The chosen plan, price, taxes, duration, renewal and termination conditions must be shown in the customer contract. Mandatory statutory rights are not excluded.
Online subscription acceptance
An authorised company representative may contract through express online acceptance after receiving these terms, commercial conditions and the applicable data processing agreement. Mere use, payment alone or a pre-ticked box do not replace acceptance. The accepted version and particular conditions must be retained and provided to the customer. The Privacy Policy is an information notice, not blanket consent. Assist Voice conditions may be included in a separately accepted annex, also electronically.
Features and commercial scope
The offer may include voice and chat support, email, SMS and connected channels, CRM and prospecting, text and image preparation, advertising, websites, project management, development assistance and operational tasks. Actual access depends on the plan, permissions, integrations, use assessment and configuration. Assist Care/Cuidar and video generation are outside the commercial offer at this stage. A menu, prototype or test function is not proof of contracted availability.
Accounts, companies and permissions
Users must protect credentials and use only authorised access. Each customer must assign, review and remove permissions, configure sharing and manage staff access changes. Data from separate companies must not be mixed. Administrative access does not authorise unrelated purposes.
AI and company representation
AI agents may assist and perform tasks on behalf of the customer company within the configured purpose and authorisations. Branding may be customised, but required AI identification must not be hidden or an agent deliberately presented as a real person. Memogadget supplies the platform; legal roles must be assessed for the actual deployment and contract.
Human review and external actions
AI may produce errors, omissions, unsafe code or unsuitable content. Customers must define automation limits and oversight responsibilities. Sending, publishing, buying services, changing systems and spending require the authorisation and controls applicable to each action. Task approval does not automatically authorise other actions or expenses. An action is complete only when its actual result is confirmed; a request or draft is not publication.
Automation and messages
Automatic replies differ from drafts reviewed and sent by a person. Customers must verify sender, recipient, represented company, content and authorisations for each workflow and comply with applicable transparency and communications rules. AI assistance alone does not make a personally reviewed and sent message an automatic reply.
Prohibited and sensitive uses
Fraud, spam, harassment, unlawful discrimination, unauthorised access, rights violations and legally prohibited practices are forbidden. Another agent or skill must not bypass blocks, oversight, logging or mandatory disclosures. Recruitment, worker assessment, biometrics and other potentially high-risk uses require specific assessment and may remain unavailable. Assist does not authorise clinical decisions, diagnosis or prescribing.
Content, rights and advertising
Customers must have the necessary rights and lawful bases for data, images, brands, voices, contacts and other supplied or published material. Synthetic content may require disclosure and provenance; realistic portrayals of people require particular rights and transparency checks. AI results are not guaranteed to be exclusive or free from third-party rights. Restricted API data, including Google data, must not be reused for advertising or prospecting contrary to those restrictions.
Credits, payments and third-party costs
Prices, included credits and usage rules are those displayed before purchase or agreed in the contract. AI credits are not an advertising budget. Paid campaigns, telecommunications, hosting and external services may involve separate costs requiring identified authorisation and terms. Integration failures and third-party price changes are handled under the contract; these terms do not authorise unspecified charges.
Integrations and availability
Google, OpenAI, Meta, telecom operators and other providers have their own terms and limits. Customers should authorise only needed integrations and may revoke access using available controls. Revocation does not automatically erase imported history. Interruptions, maintenance and third-party changes may occur; additional availability or support commitments belong in the contract.
Data protection and confidentiality
The Privacy Policy describes personal data processing. Where Memogadget processes on behalf of a customer, the applicable agreement must define instructions, purposes, security, assistance, subprocessors and data return or deletion. These terms do not replace that agreement. Each party must limit confidential information access to what is necessary and respect legal and contractual duties.
Incidents, suspension and termination
Report issues to comercial@memogadget.com, identifying the company, feature and occurrence without passwords or API keys. Use may be restricted or suspended as necessary to prevent harm, unauthorised access, unlawful use or contractual breach, with appropriate communication. Termination, export and data disposal follow the contract and law. Suspending one feature need not shut down the platform.
Responsibility and limitations
Assist supports operations and does not replace professional assessment, testing or human decisions required by the context. Each party retains its legal and contractual responsibilities; liability that cannot legally be excluded is not excluded. Service use does not establish AI Act or GDPR compliance for a customer or its processes. Accepting these terms does not confer an AI Act certification.
Versions, changes and applicable law
The published date and version identify these terms. Material changes must be communicated before taking effect where required. Historical acceptance records are not replaced or treated as acceptance of a new version. Portuguese law applies subject to mandatory rules and applicable jurisdiction provisions. Questions or disputes may be raised at comercial@memogadget.com.
